This Member Agreement (“Agreement”) is entered into between MySMB.Site (“Company”) and the subscribing member (“Member”) upon subscription to the service. By subscribing, you agree to the terms and conditions outlined below.
1. Website Ownership
1.1 Ownership During Subscription Period:
All website designs, content, and assets created by MySMB.Site remain the property of the Company during the first 12 months of your active subscription.
1.2 Ownership After 12 Months:
After 12 consecutive months of active subscription, the Member may request a backup of the website files (excluding hosting and proprietary tools) to transfer ownership. This includes all content provided by the Member (e.g., text, images, logos).
1.3 Cancellation Before 12 Months:
If the subscription is canceled within the first 12 months, the website is not eligible for transfer and will be deactivated. The Member retains ownership of any content they provided (e.g., logos, written content, and images).
1.4 Domain Name Ownership:
If the domain name is purchased by the Member, it remains the Member’s property. If MySMB.Site registers the domain on behalf of the Member, the domain can be transferred to the Member upon request, provided all outstanding fees are paid.
2. Subscription Terms and Content Requests
2.1 Subscription Services:
Your subscription includes:
- Custom website design.
- Hosting and security.
- Monthly updates and content adjustments (within the scope of the plan).
- Basic SEO optimization.
2.2 Content Change Requests:
Members are entitled to submit content change requests as part of their subscription. These include:
- Updating existing text or images.
- Adding blog posts or small content sections.
- Adjusting page layouts or swapping out images.
2.3 Scope of Changes:
- Requests are limited to 2 hours of work per month.
- Requests exceeding this time frame may incur additional fees, or they can be deferred to the following month’s update allowance.
- Major redesigns or new features outside the scope of the subscription will require a custom quote.
2.4 Submitting Requests:
- All requests must be submitted via email to [support@mysmb.site] or through the designated client portal.
- Please allow 3-5 business days for standard updates to be processed. Complex changes may take longer and will be communicated accordingly.
3. Payment and Cancellation
3.1 Payment Terms:
Subscription payments are due on a monthly basis and will be automatically billed to the payment method on file.
3.2 Cancellation Policy:
- Members may cancel their subscription at any time.
- Cancellation requests must be submitted in writing via email to [support@mysmb.site] at least 7 days before the next billing cycle to avoid being charged for the following month.
- If cancellation occurs within the first 12 months, the website will be deactivated, and no backup files will be provided (see Section 1.3).
3.3 Reactivation:
If a subscription is canceled and later reactivated, a reactivation fee of $99 may apply.
4. Member Responsibilities
4.1 Providing Content:
Members are responsible for providing accurate and complete content for their website, such as text, images, and logos.
4.2 Timely Feedback:
To ensure timely completion of website updates and designs, Members must provide feedback and approvals promptly. Delays in responses may result in slower delivery times.
4.3 Compliance:
Members must ensure all submitted content complies with copyright laws, is legal, and does not violate any third-party rights. The Company is not liable for content provided by the Member.
5. Disclaimer and Limitations
5.1 Service Limitations:
The Company provides professional website services but does not guarantee specific outcomes, such as increased traffic or revenue, as these depend on various external factors.
5.2 System Downtime:
While the Company strives to maintain 99.9% uptime, occasional downtime due to maintenance or unforeseen circumstances may occur. The Company will not be held liable for such interruptions.
6. Amendments to the Agreement
The Company reserves the right to update or modify this Agreement as needed. Members will be notified of any significant changes, and continued use of the service after such changes constitutes acceptance of the new terms.
